Effective date: 9 August 2026. These Terms govern your use of finkeepers.us. Please read them carefully before using the Site.
1. Acceptance of These Terms
These Terms of Use (“Terms”) govern your access to and use of finkeepers.us and any content, functionality or services offered through it (the “Site”), operated by Finkeepers (“we”, “us”, “our”).
By accessing or using the Site you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not access or use the Site.
We may revise these Terms at any time. Changes take effect when posted. Your continued use of the Site following any change constitutes acceptance of the revised Terms.
2. Eligibility
The Site is intended for business users aged eighteen or over. By using the Site you represent that you are at least eighteen years old and, where you act on behalf of an entity, that you have authority to bind that entity to these Terms.
3. Information Is Not Professional Advice
This is important. Content published on the Site, including articles, guides, checklists, templates, benchmark data and downloadable resources, is provided for general informational purposes only.
Nothing on the Site constitutes accounting, tax, legal, financial or investment advice, and it does not create an accountant-client, advisor-client or fiduciary relationship between you and us.
Accounting standards, tax thresholds, filing deadlines and regulatory requirements change, and vary by state, entity type and circumstance. You should not act, or refrain from acting, on the basis of Site content without obtaining professional advice specific to your situation.
Where we cite figures, benchmarks or regulatory positions, these reflect our understanding at the time of publication. We make no representation that such information remains current or applies to you.
4. Our Services and Engagement Terms
Descriptions of services on the Site are for information only and do not constitute an offer to provide services.
Any provision of accounting services by us is governed by a separate written engagement agreement between you and us. Where these Terms conflict with an executed engagement agreement, the engagement agreement prevails in respect of the services covered by it.
Pricing figures shown on the Site are indicative ranges and do not constitute a quotation or a binding offer. Fees for any engagement are set out in the applicable engagement agreement.
5. Submissions and Enquiries
Submitting a form, requesting a consultation or downloading a resource does not create a client relationship or oblige us to provide services.
Do not submit confidential, privileged or sensitive information through website forms or unencrypted email. Communications sent before an engagement agreement is executed are not treated as confidential client communications.
You are responsible for the accuracy of information you submit.
6. Acceptable Use
You agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms
- Attempt to gain unauthorised access to any part of the Site, its servers or connected systems
- Introduce viruses, malware or other harmful code
- Use automated systems including bots, scrapers or crawlers to access or extract content without our written permission
- Interfere with or disrupt the Site’s operation or the infrastructure supporting it
- Reproduce, duplicate, copy, sell or exploit any portion of the Site for commercial purposes without our written permission
- Impersonate any person or entity, or misrepresent your affiliation
- Harvest or collect information about other users
7. Intellectual Property
The Site and all content on it, including text, graphics, logos, images, downloadable materials, templates and software, are owned by Finkeepers or our licensors and are protected by United States and international intellectual property laws.
You may view, download and print Site content for your own internal business use. You may not republish, redistribute, modify, create derivative works from, or commercially exploit any content without our prior written consent.
The Finkeepers name, logo and associated marks are our property. Nothing on the Site grants any licence to use them.
Where we provide templates or tools for download, you receive a non-exclusive, non-transferable licence to use them within your own business. You may not resell or distribute them.
8. Third-Party Content and Links
The Site may reference or link to third-party websites, platforms and resources. We provide these for convenience and do not endorse, control or accept responsibility for their content, accuracy, availability or privacy practices.
Your dealings with any third party are solely between you and that third party.
9. Disclaimer of Warranties
The Site is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
We do not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components, nor that content will be accurate, complete, current or reliable.
Any reliance you place on Site content is strictly at your own risk.
10. Limitation of Liability
To the fullest extent permitted by law, neither Finkeepers nor its officers, directors, employees, affiliates or agents shall be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, business opportunity or goodwill, arising out of or relating to your use of, or inability to use, the Site.
This limitation applies regardless of the theory of liability, whether in contract, tort, negligence, strict liability or otherwise, and even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to the Site shall not exceed one hundred United States dollars ($100.00).
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
Liability in respect of services delivered under an engagement agreement is governed by that agreement, not by this section.
11. Indemnification
You agree to indemnify, defend and hold harmless Finkeepers, its affiliates, officers, directors, employees and agents from and against any claims, liabilities, damages, losses, costs and expenses, including reasonable legal fees, arising out of or relating to your use of the Site, your violation of these Terms, or your violation of any rights of a third party.
12. Confidentiality
Information exchanged under an executed engagement agreement is subject to the confidentiality provisions of that agreement.
Finkeepers maintains ISO 27001:2022 certified information security controls. Details of how we handle information are set out in our Privacy Policy.
13. Dispute Resolution and Governing Law
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law principles.
Before commencing any formal proceeding, you agree to contact us and attempt to resolve the dispute informally. Most concerns can be resolved this way.
If a dispute cannot be resolved informally within sixty days, it shall be resolved by binding arbitration administered in accordance with the rules of a recognised arbitration body, conducted in the State of Wyoming, unless you and we agree otherwise in writing.
Class action waiver. Disputes shall be resolved on an individual basis. You and we each waive any right to bring or participate in a class, collective or representative action.
Either party may bring an individual claim in small claims court where the claim qualifies.
14. Termination
We may suspend or terminate your access to the Site at any time, without notice, for any reason, including breach of these Terms.
Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification and dispute resolution, shall survive.
15. General Provisions
Severability. If any provision of these Terms is held unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall remain in full force.
No waiver. Our failure to enforce any provision does not waive our right to enforce it later.
Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Site, superseding any prior understandings.
Assignment. You may not assign these Terms without our written consent. We may assign them without restriction.
